CRUZ SPIN STUDIO
THIS CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU AND CRUZ.
PLEASE READ IT CAREFULLY BEFORE USING THE CRUZ WEBSITE OR SERVICES.
These Terms and Conditions (“Terms and Conditions”), including the Rider Agreement attached as Schedule “A” to these Terms and Conditions (the “Agreement”), govern your relationship with 1001255135 ONTARIO INC., operating as Cruz (“Cruz”, “our”, “us”, “we”), including, but not limited to your use of the Cruz website located at www.cruzclub.ca (the “Site”), your booking and purchase of Cruz classes and class packs, your right to cancel any purchases, your purchase of merchandise, your communication with Cruz, your use of and attendance at the Cruz studio located in Perth, Ontario (the “Studio”), and all services we provide in connection with the above (collectively, the “Services”).
If you choose to purchase classes or class packs online, this Agreement sets out the rights you may be entitled to under consumer protection laws to cancel that purchase.
By visiting and/or using the Site and/or utilizing any of our Services, you signify your agreement to be bound by these Terms and Conditions and you agree that we may collect, use and disclose your personal information as described in our Privacy Policy. If you do not agree to these Terms and Conditions or our Privacy Policy, please do not use the Site or our Services.
When you visit or use our Site, or communicate with Cruz via email, you are communicating electronically. You consent to receive communications from Cruz electronically. Cruz may communicate with you by email or by posting notices on our Site. You agree that all agreements, notices, disclosures and other communications that Cruz provides electronically satisfy any legal requirement that such communications be in writing.
We may modify, revise or update these Terms and Conditions at any time by updating this posting. Each time you use the Site, the version then posted will apply to that use.
WEBSITE TERMS OF USE
Ownership of Site and Content
The contents of this Site are owned by Cruz or licensed to Cruz. Your use of the Site is governed by applicable copyright, trademark and intellectual property laws. You may view, electronically copy and print portions of the Site for the sole purpose of booking classes, making purchases, or other personal use. Any other use, including modification, distribution or reproduction without prior written permission of Cruz, is prohibited.
You agree that the contents of this Site may not be copied, scraped or used for commercial purposes without prior written consent. Unauthorized use may violate applicable laws and Cruz reserves all rights and remedies.
Security Rules
You are prohibited from violating or attempting to violate the security of the Site, including unauthorized access, testing vulnerabilities, or interfering with service. Cruz may investigate violations and cooperate with law enforcement authorities.
User Conduct
You agree to use the Site only for lawful purposes. You may not post or transmit unlawful, threatening, defamatory, obscene or otherwise objectionable material.
Third-Party Links
The Site may contain links to third-party websites. Cruz is not responsible for their content or privacy practices. Access is at your own risk.
Disclaimer of Warranties – Website
The Site is provided on an “as is” and “as available” basis. Cruz makes no warranties regarding availability, accuracy or reliability.
Limitation of Liability – Website
To the fullest extent permitted by law, Cruz is not liable for damages arising from use or inability to use the Site.
PURCHASING CLASSES & CLASS PACKS
User Accounts
To purchase classes or class packs, you must create an account. You are responsible for maintaining confidentiality of your login credentials and for all activity under your account. You agree to provide accurate and current information.
Eligibility and Minors
Riders under the age of majority in Ontario must have a parent or legal guardian sign a waiver on their behalf before participating in any class. By registering for a class, attendees acknowledge that it is their responsibility to disclose if they are under the age of majority so the appropriate waiver can be completed.
Classes and Class Packs
Cruz offers drop-in classes and prepaid class packs only. Cruz does not offer memberships or auto-renewing subscriptions. All classes must be prepaid. Class packs (unless otherwise explicitly stated at the time of purchase) do not expire. Class packs are non-transferable. Refunds are granted only at the discretion of the owner of Cruz.
Pricing and Payment
All prices are subject to change without notice. Payments are processed through third-party providers. You agree to provide valid payment information.
STUDIO POLICIES
CANCELLATION POLICY
Cancellations
• Classes cancelled 12 hours or more before the scheduled start time will receive a full refund.
• Cancellations made within 12 hours of class start time are not eligible for a refund.
No-Shows
• A no-show occurs if:
• You do not attend your booked class, or
• You arrive later than 5 minutes before the scheduled class start time.
• No-shows will be charged the full cost of the class.
Late Arrival
• No entry is permitted once a class has begun. This policy is strictly enforced for safety reasons and to avoid disrupting the class experience.
• Riders arriving after class start time will be considered a no-show.
NO-SHOW POLICY
If you fail to attend a booked class and did not cancel within the permitted window, your class credit will be forfeited.
WALK-IN POLICY
Walk-in riders may purchase available bikes in person prior to class on a first-come, first-served basis. Availability is not guaranteed. Riders must check in at the Studio prior to class start.
WAITLIST POLICY
If a class is full, riders may join a waitlist. If a spot becomes available, riders may be automatically added to the class and notified electronically.
LATE ARRIVAL POLICY
For safety reasons, no rider will be admitted once a class has begun. Riders who are not present at least five (5) minutes before class may lose their reserved bike to a waitlisted or walk-in rider.
STUDIO ETIQUETTE
Riders are expected to follow instructor guidance, respect Studio staff and other riders, and use equipment responsibly. Cruz reserves the right to refuse service to anyone for inappropriate behavior.
HEALTH & SAFETY
Riders should consult a physician before participating in fitness activities. Pregnant riders may participate at their own discretion and risk.
PERSONAL PROPERTY
I understand that Cruz does not provide secured storage for personal belongings. I acknowledge that any personal property brought onto the premises, including but not limited to clothing, footwear, phones, wallets, jewelry, or other valuables, is brought at my own risk. Cruz and 1001255135 ONTARIO INC, including its owner, instructors, staff, and contractors, are not responsible or liable for any lost, stolen, or damaged personal property while on the premises.
GENERAL LEGAL TERMS
Indemnification
You agree to indemnify and hold harmless Cruz and its owners, employees and agents from claims arising from your use of the Services or breach of these Terms.
Force Majeure
Cruz is not liable for delays or failure to perform due to events beyond its control.
Governing Law
These Terms are governed by the laws of Ontario and Canada. Disputes shall be brought in Ontario courts.
Severability
If any provision is unenforceable, the remaining provisions remain in effect.
Entire Agreement
These Terms constitute the entire agreement between you and Cruz regarding the Services.
SCHEDULE “A” – RIDER AGREEMENT & LIABILITY WAIVER
THIS IS A RELEASE OF LIABILITY AND WAIVER OF CERTAIN LEGAL RIGHTS.
Assumption of Risk
Participation in spin classes involves inherent risks including serious injury or death. You voluntarily assume all risks associated with participation.
Health Representation
You confirm that you are physically fit to participate and will not attend if you are ill or injured.
Release and Waiver
You release and discharge Cruz, its owners, employees and agents from all claims arising from participation in classes, except where prohibited by law.
Limitation of Liability
To the extent permitted by law, Cruz’s total liability shall not exceed $100 CAD.
Media Consent
You consent to the use of photographs or videos taken in the Studio for marketing purposes unless you notify Cruz in writing.
Emergency Medical Consent
You consent to emergency medical treatment if required.
Acknowledgment
By booking or attending a class, you acknowledge that you have read and agree to these Terms and the Rider Agreement.

Comprehensive Rider Agreement, Waiver of Liability & Studio Policies
This Agreement is entered into between the undersigned participant (“Rider”) and Cruz, operated by 1001255135 ONTARIO INC (the “Studio”).
By booking, attending, or participating in any class, program, event, or activity at Cruz, the Rider acknowledges and agrees to the following terms:
1. Assumption of Risk
The Rider understands that participation in indoor cycling and fitness classes involves inherent and potentially significant risks, including but not limited to:
- Muscle strain, soreness, or injury
- Cardiovascular events
- Exposure to high sound levels, including loud music, which may contribute to hearing discomfort or potential hearing damage
- Exposure to dynamic lighting conditions, including dim lighting, flashing lights, or rapidly changing light levels, which may cause disorientation, dizziness, or discomfort for some individuals
- Dizziness, fainting, or dehydration
- Falls
- Injury related to equipment use or improper setup
The Rider voluntarily and knowingly assumes all risks associated with participation at Cruz, whether known or unknown, foreseeable or unforeseeable.
2. Health & Fitness Acknowledgement
The Rider confirms and represents that:
- They are physically able to participate in spin and fitness classes.
- They have consulted a physician or qualified medical professional if they have any medical conditions, injuries, or health concerns.
- They will immediately stop exercising and notify an instructor if they experience pain, dizziness, discomfort, or distress.
Pregnancy
If pregnant, the Rider acknowledges that participation is voluntary and at their own risk and confirms that they have consulted their healthcare provider prior to participation.
3. Equipment Use & Instruction
The Rider understands that instructors may assist with bike setup and provide instruction prior to and during class.
The Rider agrees that they are responsible for:
- Communicating any injuries, limitations, or concerns before class begins.
- Following instructor guidance and safety instructions.
- Adjusting intensity appropriately to their own fitness level.
4. Studio Policies
Arrival & Late Entry
- Riders are expected to arrive early for bike setup.
- Riders arriving later than 5 minutes before class start time may be denied entry.
- No entry is permitted once class has begun.
Cancellation Policy
- Classes cancelled 12 hours or more before the start time will receive a full refund or credit.
- Cancellations made within 12 hours of class start time are non-refundable.
No-Show Policy
A no-show includes:
- Failure to attend a booked class; or
- Arriving later than 5 minutes before class start time.
No-shows will be charged the full class cost or result in the loss of a class credit.
5. Class Packs & Purchases
- Cruz offers drop-in classes and class packs only.
- Class packs do not expire unless otherwise explicitly stated at the time of purchase.
- Class packs are non-transferable.
- All purchases are final.
Refunds, if any, are granted solely at the discretion of the owner, Aidan Donnelly.
6. Studio Conduct
The Rider agrees to:
- Treat instructors, staff, and fellow riders with respect.
- Follow all posted rules and instructor guidance.
- Refrain from disruptive, unsafe, or inappropriate behaviour.
Cruz reserves the right to refuse service, deny entry, or remove any Rider from class or the premises for failure to comply with studio policies or for behaviour deemed unsafe or inappropriate.
7. Personal Property
The Rider understands that Cruz does not provide secured storage for personal belongings.
All personal property brought onto the premises, including but not limited to clothing, footwear, phones, wallets, jewelry, or other valuables, is brought at the Rider’s own risk.
Cruz and 1001255135 ONTARIO INC, including its owner, instructors, staff, and contractors, are not responsible or liable for any lost, stolen, or damaged personal property.
8. Photo & Video Release
The Rider grants Cruz permission to use photographs and video recordings taken during classes for promotional purposes, including social media, marketing materials, and website content.
The Rider may opt out of photo/video use by providing written notice to:

9. Release of Liability & Indemnification
To the fullest extent permitted by law, the Rider hereby releases, waives, and holds harmless:
- Cruz
- 1001255135 ONTARIO INC
- Its owner, instructors, staff, contractors, agents, and representatives
from any and all claims, demands, actions, damages, injuries, losses, liabilities, or expenses arising out of or related to participation at Cruz, whether caused by negligence or otherwise.
The Rider agrees that this release applies to all claims, including but not limited to personal injury, illness, property damage, or wrongful death.
10. Minors
Participants under the age of 18 must have this Agreement signed by a parent or legal guardian.
The undersigned parent or guardian agrees to all terms of this Agreement on behalf of the minor and accepts full responsibility for the minor’s participation.
11. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
12. Acknowledgement & Electronic Acceptance
By signing below or by checking the acknowledgement box at booking or check-in, the Rider confirms that:
- They have read this Agreement in full.
- They understand its contents.
- They are voluntarily agreeing to its terms.
- They understand that this document includes a release of legal rights.
